OFS TECH LLC Online Advertising Agreement
This Online Advertising Agreement (“Agreement”) is made effective as of entered date, by and between OFS Tech LLC, a company duly organized and existing under the laws of Missouri, having its principal place of business at 5404 S Clifton Ave, Springfield, MO 65810 (“OFS”), and business entered in this form, a business entity duly organized and existing under the laws of its legal state, having its principal place of business at the entered address (“Advertiser”).

ADVERTISING SERVICES
• OFS agrees to provide online advertising services (“Services”) to Advertiser in accordance with the terms and conditions of this Agreement.
• Advertiser agrees to pay OFS the agreed-upon fees for the Services as set forth in Payment Schedule attached hereto.

ADVERTISING CONTENT
• Advertiser shall provide all necessary advertising content (“Content”) to OFS in the format and specifications required by OFS. Content will begin running on the site by the first of the month following the agreement.
• Advertiser represents and warrants that the Content complies with all applicable laws and regulations and does not infringe upon any third party rights, including but not limited to copyrights, trademarks, or trade secrets.

LICENSE GRANT
• Advertiser hereby grants to OFS a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the Content for the purpose of providing the Services.

REPRESENTATIONS AND WARRANTIES
• Advertiser represents and warrants that:
o (a) Advertiser has the full right and authority to enter into this Agreement;
o (b) The Content does not contain any defamatory, libelous, or unlawful material;
o (c) The Content does not infringe upon any intellectual property rights of any third party.

INDEMNIFICATION
• Advertiser shall indemnify, defend, and hold harmless OFS, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to any breach of Advertiser’s representations and warranties herein or any claim that the Content infringes upon any third-party rights.

LIMITATION OF LIABILITY
• In no event shall OFS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, arising out of or in connection with the Services provided under this Agreement.

GOVERNING LAW
• This Agreement shall be governed by and construed in accordance with the laws of Missouri, without regard to its conflict of law principles.

ENTIRE AGREEMENT
• This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written. Online Advertising Agreement
Payment Schedule This Payment Schedule Addendum (“Addendum”) is attached to and made a part of the Online Advertising Agreement (“Agreement”) entered into between OFS Tech LLC (“OFS”) and [Advertiser Name] (“Advertiser”) effective as of [Date].

PAYMENT TERMS:
Advertiser agrees to make payments to OFS according to the following schedule:
• Advertiser shall make an initial payment upon execution of the Agreement that includes setup and first month of Tenancy.
• Subsequent Payments: Advertiser shall make subsequent payments on a monthly basis throughout the term of the Agreement due on the 10th day of each month. Amount will be determined by usage and terms set forth in the table below:

PAYMENT METHOD:
All payments shall be made via [payment method, e.g., bank transfer, credit card] to the account entered above.

LATE PAYMENTS: In the event that Advertiser fails to make any payment when due, OFS reserves the right to suspend or terminate the advertising services until all outstanding payments are made. Advertiser shall be responsible for any costs or fees incurred by OFS as a result of late payments.

TAXES: Advertiser shall be responsible for any applicable taxes related to the advertising services provided under the Agreement.

AMENDMENTS: This Addendum may be amended or modified only by a written instrument signed by both parties.
